Terms of Service
These terms of service (the "Terms") apply between The Intelligence Company AB (publ) ("TIC", "we"), reg. no. 559487-1682, and you when you use the Truespar web services. Truespar is a research arm and brand of TIC. The Terms cover the truespar.com website, Truespar accounts, software downloads, and the live demos we host (together the "Services").
The Truespar software products - such as Paddock, Traverse, and Torque - are licensed under separate license terms that accompany the software or are agreed with your organisation in writing (each a "Product License"). Where a Product License and these Terms overlap, the Product License prevails for the software it covers.
The Services are provided to businesses for use in their business or professional activities. They are not directed at consumers.
1. The Services
1.1 The truespar.com website provides product information, documentation, benchmarks, and related content. It is provided for information purposes, and we may change or remove content at any time.
1.2 A Truespar account lets you download software releases and manage license keys for your organisation.
1.3 Live demos (for example the Paddock live demo) are provided for evaluation. They run on shared hardware that we operate, and we may rate-limit, restrict, or withdraw them at any time without notice.
2. Accounts
2.1 You are responsible for the accuracy of the information you provide when creating an account. If you act on behalf of an organisation, you represent that you are authorised to bind it to these Terms.
2.2 You are responsible for all activity that takes place through your account, and for ensuring that only authorised persons are given access.
2.3 You shall keep login credentials secure and not make them available to unauthorised persons. If you suspect, or ought to have suspected, that credentials have come to the knowledge of an unauthorised person or are being misused, you shall immediately take measures to restrict access and notify TIC.
3. Software Downloads and License Keys
3.1 Software made available for download through the Services is licensed under its Product License. Installing or using the software constitutes acceptance of that license.
3.2 License keys are issued to your organisation. They shall be kept secure and not shared outside it. TIC may revoke license keys that are used in breach of these Terms or the applicable Product License.
3.3 Release binaries are code-signed by TIC. We recommend verifying the signature of a downloaded binary before deploying it.
4. Acceptable Use
4.1 You may not use the Services for, or in a manner that:
- (a) conducts or promotes unlawful, illegal or fraudulent activity;
- (b) infringes or misappropriates the intellectual property, privacy or other rights of any third party;
- (c) breaches applicable export control, sanctions or trade laws;
- (d) attempts to gain unauthorised access to any system, account or data relating to the Services, other customers or third parties;
- (e) creates or disseminates phishing, malware or deceptive impersonations;
- (f) disrupts, degrades or overloads the Services, including through abuse of automation, unauthorised scraping, or unreasonable load on the live demos;
- (g) attempts to circumvent usage limits or security features of the Services; or
- (h) sends unsolicited messages or spam.
4.2 Good-faith security research is welcome under coordinated disclosure - see Report a Vulnerability in our Trust Center.
5. Live Demos and AI Output
5.1 The live demos use AI to generate output. Output may be incorrect, incomplete, misleading or inappropriate, and is provided "as is". TIC gives no warranties regarding the accuracy, quality or suitability of output.
5.2 You are responsible for reviewing and verifying output before relying on it or taking action based on it. Output does not constitute professional advice (e.g. legal, financial, tax or medical) and does not replace your own judgement.
5.3 Demo conversations are ephemeral: they are not saved by TIC and are not used to train models. Do not submit personal data or confidential information to a live demo.
6. Intellectual Property Rights
6.1 TIC owns all intellectual property rights relating to the Services and the Truespar software, in any form or format. These Terms do not transfer any intellectual property right.
6.2 You may not copy, modify, distribute, decompile or create derivative works of the Services or the software, beyond what is expressly permitted in these Terms or the applicable Product License, or follows from mandatory law.
6.3 You may not remove TIC's or Truespar's trademarks, logos or other marks without TIC's written consent.
6.4 If you provide feedback or suggestions about the Services or the products, TIC is entitled to use these freely without compensation.
7. Third-Party and Open-Source Components
7.1 The Services and the Truespar software may include open-source components that are licensed under their own terms. Those terms govern the components they cover.
7.2 Open AI models made available through or for Truespar software (for example models served by Paddock) are provided by third parties under their own model licenses. You are responsible for complying with the license of each model you deploy.
8. No Warranties
8.1 The Services are provided "as is" and "as available". To the extent that mandatory law does not provide otherwise, TIC disclaims all warranties, express or implied, including warranties of fitness for a particular purpose, merchantability or non-infringement.
8.2 TIC gives no warranties that use of the Services achieves any particular result, and is not responsible for third-party services on which the Services depend.
9. Limitation of Liability
9.1 TIC is not liable for indirect or consequential damages, including loss of profit, lost or corrupted data, business interruption or reputational damage.
9.2 TIC's aggregate liability for damages is limited to an amount corresponding to what you have paid TIC for the affected Service during the twelve (12) months preceding the event giving rise to the damage. For Services provided free of charge, TIC's liability is excluded to the fullest extent permitted by applicable law.
9.3 In particular, TIC is not liable for:
- (a) decisions or actions you take on the basis of output from a live demo;
- (b) your deployment, configuration or operation of self-hosted Truespar software, which runs on infrastructure under your control; or
- (c) third-party or open-source components, including AI models and their licenses.
9.4 The limitations in this section 9 do not apply in the case of intent or gross negligence, or otherwise to the extent liability cannot be limited under mandatory law.
10. Indemnification
10.1 You shall indemnify and hold TIC harmless from claims, damages, losses and costs (including reasonable legal fees) brought against or incurred by TIC as a result of your breach of these Terms or your unlawful use of the Services.
11. Changes to the Services and These Terms
11.1 TIC develops the Services continuously and is entitled to change, add or discontinue functions at any time.
11.2 TIC is entitled to amend these Terms. Material amendments take effect thirty (30) days after the updated Terms are published on this page, with the date of the most recent update stated above. Continued use of the Services after the effective date means that you have accepted the amendment.
12. Suspension and Termination
12.1 TIC is entitled to limit, suspend or deactivate your access to the Services in the event of suspected or established breach of these Terms, or where necessary for security, legal or risk-related reasons.
12.2 You may stop using the Services and request deletion of your account at any time. Provisions that by their nature are intended to survive (e.g. on intellectual property, limitation of liability, indemnification and dispute resolution) continue to apply.
13. Force Majeure
13.1 A party is released from liability for failure to perform an obligation under these Terms if the failure is due to a circumstance beyond the party's control that the party could not reasonably have foreseen and whose consequences the party could not reasonably have avoided or overcome. Grounds for release include, among others, action by public authorities, war, riot, strike, natural disaster, power outage, cyberattack, and interruptions or faults at subcontractors or infrastructure providers.
14. Notices
14.1 Notices to TIC shall be sent to hello@truespar.com. Notices to you may be sent to the email address registered on your account or provided through the Services. A notice is deemed to have reached the recipient upon dispatch if sent by email.
15. Assignment
15.1 You may not assign your rights or obligations under these Terms without TIC's prior written consent. TIC is entitled to assign these Terms to a group company or in connection with a transfer of the business to which they relate.
16. Invalidity of a Provision
16.1 If a provision of these Terms is invalid or unenforceable, this shall not mean that the Terms as a whole are invalid. The provision shall be adjusted as far as possible to achieve its intended purpose; failing that, it shall be deemed struck out and the remaining provisions shall continue to apply.
17. Entire Agreement
17.1 These Terms, together with any Product License and any written agreement between TIC and your organisation, constitute the entire agreement on the matters they concern. In the event of conflict, the following order of precedence applies: (1) the written agreement, (2) the Product License for the software it covers, (3) these Terms.
18. Governing Law
18.1 These Terms shall be governed by and construed in accordance with the substantive law of Sweden.
19. Disputes
19.1 Disputes arising out of these Terms and related legal relationships shall be finally settled by the ordinary courts, with the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
